Job Description

Corporate Paralegal

We are seeking an experienced and detail-oriented Corporate Paralegal to join our dynamic legal team. In this role, you will play a key part in supporting corporate governance, securities compliance, contract management, and other essential legal and administrative operations for a publicly traded organization.

What You'll Do:

  • Draft, review, and manage confidentiality agreements, company templates, and other contracts.
  • Maintain and oversee the company's contract database, ensuring accuracy, compliance, and timely execution.
  • Support corporate governance activities, including maintaining records, minutes, and resolutions for board and committee meetings.
  • Assist in the preparation and filing of SEC reports and other securities law compliance matters.
  • Manage key aspects of the company's Equity Program-monitoring insider trading policies, pre-clearance forms, trading windows, and equity documentation.
  • Help ensure compliance with state and federal regulations, such as drug price transparency laws and the Sunshine Act.
  • Conduct legal and factual research and contribute to special projects improving departmental efficiency and compliance standards.
  • Provide administrative and budgeting support for the Legal Department, including invoice processing and tracking.
  • Partner cross-functionally with finance, HR, and compliance teams to maintain smooth legal operations.

What We're Looking For:

  • Bachelor's degree and/or Paralegal Certificate with at least 10+ years of public company experience.
  • In-depth familiarity with securities laws, SEC filings, equity plan administration, and corporate governance.
  • Experience supporting M&A transactions and corporate financing activities.
  • Exceptional analytical, drafting, and organizational skills.
  • Strong ability to work independently while collaborating effectively across departments.
  • High degree of integrity, discretion, and professionalism.
  • A positive, approachable, and solutions-oriented mindset.
